1. Acceptance of Terms
These Terms and Conditions ("Terms") govern your use of the rampways.com website (the
"Site") and your participation in any video content production projects operated by Rampways
Automations Inc. ("Rampways," "we," "us," or "our"). By accessing the Site, submitting an intake
form, or participating in a project, you agree to be bound by these Terms. If you do not agree to
these Terms, please do not use the Site or participate in our projects.
2. Eligibility
To participate in Rampways projects, you must meet all of the following eligibility requirements:
• You must be at least eighteen (18) years of age.
• You must be a resident of Canada (excluding the province of Quebec, unless otherwise
specified for a particular project).
• You must have legal authorization to work and receive payment in Canada.
• You must have access to the required technical equipment as specified in the project
requirements, including but not limited to a 1080p-capable webcam, stable high-speed
internet connection, wireless earbuds or headphones, and adequate lighting and a quiet,
private recording environment.
• You must not have any facial obstructions that conflict with project requirements (specific
requirements will be communicated during the intake process).
Rampways reserves the right to verify your eligibility at any stage and to decline or terminate
your participation if eligibility requirements are not met.
3. Participant Intake Process
Participation in Rampways projects requires completion of an intake process, which may include
the following steps:
• Submission of an online intake form with personal information, photographs, and
technical details about your recording setup.
• A technical validation review, which may include a video submission or live video call to
verify your equipment, recording environment, and technical readiness.
• Execution of a Participant Consent Agreement specific to the project.
• Availability coordination and session scheduling.
Submission of an intake form does not guarantee acceptance into a project. Rampways reviews
all submissions and selects participants based on project requirements, technical readiness,
and scheduling compatibility. We reserve the right to accept or decline any application at our
sole discretion.
4. Project Participation
4.1 Recording Sessions
Participants who are accepted into a project will be paired with another participant for recorded
video conversation sessions conducted through designated recording software (currently
Riverside or equivalent). Each session is expected to last approximately the duration specified
in your project materials. Participants are expected to engage in natural, energetic conversation
following any provided talking points or guidelines.
4.2 Technical Requirements
You are responsible for ensuring your recording environment and equipment meet the project
specifications communicated during the intake process. This includes maintaining a stable
internet connection, using the specified audio and video equipment, and recording in a quiet,
well-lit, private space. Failure to meet technical requirements may result in session
rescheduling, rejection of recorded content, or termination of participation.
4.3 Conduct Standards
During recording sessions, participants must:
• Follow all provided conversation guidelines and talking points.
• Maintain professional and respectful conduct with conversation partners and Rampways
staff.
• Refrain from discussing confidential project details with third parties.
• Not include any illegal, defamatory, harassing, or discriminatory content in
conversations.
• Not consume alcohol or controlled substances during recording sessions.
5. Compensation
Participants will be compensated at the rate specified in their Participant Consent Agreement
(currently $50 CAD per hour of recorded content). Compensation is subject to the following
conditions:
• Payment is contingent upon successful completion of recording sessions that meet
quality standards.
• Rampways conducts quality control review of all recorded content. Content that does not
meet technical or content quality standards may be rejected, and compensation for
rejected content may be withheld or adjusted.
• Payment will be processed via ACH transfer or other agreed method within the
timeframe specified in your Participant Consent Agreement.
• Participants are solely responsible for reporting compensation as income and fulfilling all
applicable tax obligations.
• Rampways is not responsible for banking fees, transfer delays, or errors caused by
incorrect payment information provided by participants.
6. Referral Program
Rampways may offer a referral program allowing accepted participants to refer additional
eligible individuals. Referral bonuses and terms will be communicated separately when
available. Rampways reserves the right to modify or discontinue the referral program at any
time. Referred individuals must independently meet all eligibility requirements and complete the
standard intake process.
7. Intellectual Property and Content Ownership
7.1 Recorded Content
By participating in a Rampways project and executing a Participant Consent Agreement, you
grant Rampways and its clients the rights specified in that agreement with respect to your
recorded video content, including your likeness, voice, and conversational contributions.
Ownership of recorded content transfers to the client on a per-batch basis upon receipt of
payment by Rampways, as specified in the applicable project agreements.
7.2 Content Use Restrictions
Rampways contractually requires that all clients adhere to the following content use restrictions:
• Recorded content shall not be used to develop, train, or operate deepfake generation
models or similar technologies designed to create synthetic media impersonating real
individuals.
• Recorded content shall not be used to create explicit, pornographic, or adult content of
any nature.
• Recorded content shall not be used in any manner that violates applicable Canadian or
international law.
While Rampways enforces these restrictions through its client agreements, Rampways does not
control the ultimate use of content by clients or their downstream partners and cannot guarantee
compliance beyond its contractual protections.
7.3 Site Content
All content on the rampways.com website, including text, graphics, logos, and design elements,
is the property of Rampways Automations Inc. and is protected by Canadian and international
intellectual property laws. You may not reproduce, distribute, or create derivative works from
Site content without our prior written consent.
8. Confidentiality
Participants may receive confidential information during the course of their participation,
including project details, client information, conversation topics, session schedules, and the
identities of other participants. You agree to maintain the confidentiality of all such information
and not disclose it to any third party without the prior written consent of Rampways. This
obligation survives the termination of your participation.
9. Limitation of Liability
To the maximum extent permitted by applicable law, Rampways Automations Inc. and its
officers, directors, employees, agents, and affiliates shall not be liable for any indirect,
incidental, special, consequential, or punitive damages arising out of or related to your use of
the Site, participation in projects, or these Terms. Our total aggregate liability for any claim
arising from these Terms or your participation shall not exceed the total compensation paid or
payable to you under the applicable project.
The Site and all project-related services are provided on an "as is" and "as available" basis,
without warranties of any kind, whether express or implied, including implied warranties of
merchantability, fitness for a particular purpose, and non-infringement.
10. Indemnification
You agree to indemnify, defend, and hold harmless Rampways Automations Inc. and its
officers, directors, employees, agents, and affiliates from and against any claims, liabilities,
damages, losses, costs, and expenses (including reasonable legal fees) arising out of or related
to: (a) your breach of these Terms; (b) your violation of any applicable law; (c) your participation
in a project, including any content you contribute during recording sessions; or (d) any
misrepresentation made by you during the intake or participation process.
11. Termination
Rampways may suspend or terminate your participation in any project at any time, with or
without cause, upon written notice. Grounds for termination include, but are not limited to:
• Failure to meet eligibility requirements or technical specifications.
• Breach of these Terms, the Participant Consent Agreement, or any project guidelines.
• Failure to attend scheduled recording sessions without reasonable notice.
• Conduct that is unprofessional, disruptive, or harmful to other participants or Rampways
staff.
• Providing false or misleading information during the intake process.
Upon termination, you will be compensated for any completed sessions that meet quality
standards, less any amounts owed to Rampways. Sections 7, 8, 9, 10, and 13 shall survive
termination.
12. Dispute Resolution
These Terms are governed by and construed in accordance with the federal laws of Canada
and the laws of the province in which the dispute arises, without regard to conflict of law
principles. Any dispute arising out of or relating to these Terms shall first be addressed through
good-faith negotiation between the parties. If the dispute cannot be resolved through negotiation
within thirty (30) days, either party may pursue resolution through the courts of competent
jurisdiction in Canada.
13. General Provisions
13.1 Entire Agreement
These Terms, together with any Participant Consent Agreement you execute, constitute the
entire agreement between you and Rampways with respect to your use of the Site and
participation in projects. In the event of a conflict between these Terms and a Participant
Consent Agreement, the Participant Consent Agreement shall prevail with respect to the
specific project.
13.2 Severability
If any provision of these Terms is found to be unenforceable or invalid, that provision shall be
limited or eliminated to the minimum extent necessary, and the remaining provisions shall
continue in full force and effect.
13.3 Waiver
The failure of Rampways to enforce any right or provision of these Terms shall not constitute a
waiver of that right or provision.
13.4 Assignment
You may not assign or transfer your rights or obligations under these Terms without the prior
written consent of Rampways. Rampways may assign its rights and obligations under these
Terms without restriction.
13.5 Amendments
Rampways reserves the right to modify these Terms at any time. Updated Terms will be posted
on the Site with a revised effective date. Your continued use of the Site or participation in
projects following any modifications constitutes acceptance of the updated Terms.
